1. Introduction and Acceptance
Welcome to the PURSUUT service (the “Service”). These Terms and Conditions (the "Terms") govern your use of the Service, which includes accessing, browsing, or using our website. The PURSUUT Service, owned and operated by Pursuut Technologies, Inc. (hereinafter referred to as "PURSUUT"), can be accessed through our website www.pursuut.com , which can be viewed online via a computer, tablet, or any mobile device. Please carefully review the following terms. By accessing or using the Service, you indicate your acceptance of these Terms. If you do not agree to these Terms, please refrain from using PURSUUT and its Service.
2. Privacy Policy
We respect your privacy as a user of our Service. Please refer to our Privacy Policy, which explains how we collect, use, and disclose information related to your privacy. When you access or use the Service, you acknowledge your agreement to this Privacy Policy.
3. About the Service
The PURSUUT Service is a technology platform that allows you to connect with and engage the services of private investigators for limited-time engagements for your personal or business use.
You understand and acknowledge that PURSUUT is not a private investigation agency and does not perform any private investigation services. PURSUUT is a platform enabling you to find, communicate with and retain licensed third-party private investigators. You agree that PURSUUT is not responsible or liable for any private investigation services provided to you by third-party private investigators you engage through the Service, except as expressly stated in these Terms and Conditions.
Although private investigators on PURSUUT are thoroughly vetted, PURSUUT does not guarantee the suitability, work quality, or professional ability of third-party private investigators. It is your sole responsibility to determine whether the private investigator you select will meet your needs and expectations. You acknowledge that you use this service at your own risk, and the third-party private investigator may expose you to situations that are unsafe, offensive, harmful to others, or otherwise objectionable. PURSUUT does not assume responsibility and has no liability arising from or related to your use of the Service or your engagement of a third-party private investigator.
You must be at least 18 years old, a resident of the United States, and physically present in the United States to register for and use the Service.
4. Refunds
Private investigators engaged through the PURSUUT service agree to offer refunds prior to the start of an investigation, when requested. If services have taken place, private investigators engaged through PURSUUT agree to offer partial refunds. Please note that all refund requests and disputes related to refunds must be worked out directly between the customer and the private investigator. PURSUUT is not involved in the refund process and does not have authority over refunds issued by the private investigator.
5. User Information and Content
When you register with PURSUUT and engage a private investigator, you may be asked to provide certain user-generated information (“user information”). This includes basic information required for registering for the service, information you provide when communicating with PURSUUT customer support, and information you provide to the private investigator to commence an investigation. You are solely responsible for the user information you provide, and you agree that PURSUUT is only acting as a passive conduit for the information you provide to and receive from the private investigator. We reserve the right to remove any information from the Service at our discretion.
All user information you provide remains your property. However, by providing user information to PURSUUT, you grant PURSUUT a worldwide, perpetual, irrevocable, transferrable, royalty-free license to the user information. PURSUUT will not use the user information in any way that contradicts PURSUUT’s Privacy Policy, without further notice or consent from you. Pursuut will not be required to make any payment to you or any other person or entity for such license to the user information.
You represent and warrant that: (i) you either are the sole and exclusive owner of all user information or you have all rights, licenses, consents, and releases necessary to grant PURSUUT the license to the user information as set forth above; and (ii) neither the user information nor your submission of such user information nor PURSUUT’s use of the user information as permitted herein will infringe, misappropriate, or violate a third party’s intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
You understand and agree that any liability, loss, or damage that occurs as a result of the use of any user information that you provide is solely your responsibility.

Your permission to use the Service is conditioned upon the following Use Restrictions and Conduct Restrictions. You agree that you will not under any circumstances:

PURSUUT grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferrable license: (i) for the sole purpose of accessing and using the PURSUUT Service on your personal device; and (ii) accessing and using any content, information, and related materials that may be made available through the PURSUUT Service, solely for your personal, noncommercial use. Any rights not expressly granted herein are reserved by PURSUUT and PURSUUT’s licensors. Your license to access and use the PURSUUT service is subject to your compliance with these Terms and Conditions.
9. Ownership
The PURSUUT Service and all rights therein are and shall remain PURSUUT’s property or the property of PURSUUT’s licensors. Neither these Terms and Conditions nor your use of the Service convey or grant to you any rights: (i) in or related to the Service except for the limited license granted above; or (ii) to use or reference in any manner PURSUUT’s company names, logos, product and service names, trademarks or services marks or those of PURSUUT’s licensor.
10. User Consent to Receive Communications in Electronic Form
You agree to receive communications from us in electronic form via the email address you have submitted or through the application push notifications if you selected this option. You also agree that all Terms and Conditions, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing. The foregoing does not affect your non-waivable rights.
We may also use your email address to send you other messages, including information about us and special updates and offers. You may opt out of such email by changing your account settings or sending an email to information@pursuut.com. Opting out may prevent you from receiving messages regarding special offers.
11. Private Investigator Users
Private Investigator (PI) users are third-party independent private investigators who offer to perform the service requested by the users of the application. PIs are not employees or agents of PURSUUT and are not authorized to enter into any agreement on behalf of PURSUUT or bind or obligate PURSUUT in any way.
A contractual relationship between the PI and the application user may be formed through the use of the Service. This occurs when a user submits a request for investigation, a PI contacts you, and both you and the PI mutually agree to move forward.
PIs are solely responsible for ensuring that any information they provide and any communication they have with a Service user fully complies with all applicable laws, regulations, and rules of professional conduct.

12. Payment
The PIs and Service users exchange payments and refunds via PURSUUT's integrated payment solution. Charges will be inclusive of applicable taxes where required by law. Payments are final and non-refundable, unless otherwise allowable based on the Terms and Conditions.
13. Warranty Disclaimer
THE SERVICE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, REGARDING THE SERVICE INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, ACCURACY AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY OR REPRESENTATION THAT ACCESS TO OR OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ASSUME FULL RESPONSIBILITY AND RISK OF LOSS RESULTING FROM YOUR DOWNLOADING AND/OR USING OF THE SERVICE AND APPLICATION AND ANY FILES, INFORMATION, CONTENT OR OTHER MATERIAL OBTAINED FROM THE SERVICE. SOME JURISDICTIONS LIMIT OR DO NOT PERMIT DISCLAIMERS OF WARRANTY, SO THIS PROVISION MAY NOT APPLY TO YOU.
14. Limitation of Damages; Release
TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, DIRECTORS, OR EMPLOYEES, OR OUR LICENSORS OR PARTNERS, BE LIABLE TO YOU FOR ANY LOSS OF PROFITS, USE, OR DATA, OR FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, HOWEVER ARISING, THAT RESULT FROM (A) THE USE, DISCLOSURE, OR DISPLAY OF YOUR USER CONTENT; (B) YOUR USE OR INABILITY TO USE THE SERVICE; (C) THE SERVICE GENERALLY OR THE SOFTWARE OR SYSTEMS THAT MAKE THE SERVICE AVAILABLE; OR (D) ANY OTHER INTERACTIONS WITH US OR ANY OTHER USER OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
15. Indemnification
You agree to indemnify and hold PURSUUT, its officers, directors, employees, agents, and affiliates, harmless from any claim, demand, or damages, including reasonable attorneys’ fees, arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of another, including any user of the Service, or (d) your violation of any applicable law or regulation.
16. Applicable Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of incorporation, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms and Conditions or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located within the State of incorporation, and you hereby submit to the personal jurisdiction of such courts.

These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by PURSUUT without restriction.
18. General
(a) These Terms and Conditions constitute the entire agreement between you and PURSUUT regarding the use of the Service and supersede all prior understandings.
(b) If any provision of these Terms and Conditions is found to be invalid or unenforceable under applicable law, it shall not affect the validity or enforceability of the remainder of the Terms and Conditions.
(c) No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term, and PURSUUT's failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

PURSUUT reserves the right, at its sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, we will make reasonable efforts to provide notice. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
